Playmates July 2009 Stock Buyback program to fight dramatic share price decline

PLAYMATES HOLDINGS LIMITED (HKEx: 635) AND PLAYMATES TOYS (HKEx: 869)

Originally recommended on June 4/07 (IWB #2721) at US$1.35 (adjusted for consolidation). Closed Friday at HK$1.83.

In light of dramatic share price declines, Playmates Holding Limited (PHL) and Playmates Toys Limited (PTL) have instituted share buyback programs. PHL is authorized to repurchase 21,880,069 shares and PTL is allowed to repurchase 49,500,000 shares, which represents 10% of the issued share capital of each company. With PHL trading at HK$1.83 relative to its book value of HK$7.93 and PTL trading at HK15c relative to its book value of HK19c, both issuer bids are accretive.

Unfortunately both PHL and PTL were heavily impacted by the financial crisis and ensuing economic downturn in fiscal 2008. PHL revalued its real estate investments to fair value of HK$1.55 billion, down approximately HK$118 million in 2007. The company also incurred a net loss on portfolio investments of HK$306 million (including realized losses of about HK$226 million and unrealized losses of about HK$80 million). Despite the disappointing charges, management expects rental income to remain 'stable in 2009 on the strength of the quality and composition of the tenants'.

PTL also faced a difficult year in 2008, with sales down 22.6% to HK$704 million from HK$909 million in 2007. The toy division reported an operating loss of HK$139 million, with specific weakness in the United States and European Union. The operating margin was particularly hit by an increase in close-out sales of discontinued toys as the enforcement date of more stringent safety standards approached. Although management expects that the current fiscal year will be difficult for the toy industry, they were encouraged about two major brands that are supported by theatrical releases in 2009; Terminator Salvation and Star Trek.

Thankfully, both PHL and PTL have reasonably clean balance sheets. PHL has a current ratio of 1.7 times and total bank borrowings to total tangible assets of only 8.7%. PTL has slightly higher debt levels, with a current ratio of 1.0 times and total bank borrowings to total tangible assets of 13.2%. In order to enhance the company's working capital levels, the directors of the corporation issued one bonus warrant for every five shares held by shareholders but excluding overseas investors. At HK90c, full exercise of the bonus warrants would result in the issue of 43.76 million shares and would raise almost HK$40 million.

The shares have since recovered from the lows and the global economy seems to be showing signs that the worst has past. However, we will monitor both of these stocks closely for any adverse developments, particularly related to the health of the balance sheets.

Toys: The movie industry's new playthings

When Michael Bay, cinema’s reigning champion of vehicular carnage, thinks your idea for an explosive, special-effects-laden blockbuster is lame, you’ve got problems.
A few years ago, Bay, the director of “Armageddon,” “The Rock” and “Bad Boys,” was in his editing room when Steven Spielberg called to offer him a new project: an action movie about giant robots that metamorphose into cars, trucks and planes.
As Bay recalled in a recent interview, “I’m like, ‘OK, great, great, great.’ And I hung up the phone. And I’m like, ‘That sounds like a dumb idea.’”

What helped persuade Bay to take the first “Transformers” movie — which in 2007 took in more than $700 million worldwide at the box office, and whose sequel, “Transformers: Revenge of the Fallen,” opened Wednesday — was a visit to the Pawtucket, R.I., headquarters of Hasbro, which creates the Transformers toys.
There Bay, 44, was given a thorough education on the narrative embedded in the 25-year-old toy line: a back story about warring factions of valiant Autobots and nefarious Decepticons who bring their battle to Earth from their home planet, Cybertron.
Bay was sold.
“I don’t consider this a toy,” he said. “It’s not. To me it’s the furthest thing from it. It was about the mythology and that there was a story here.”
For Hasbro, this summer will see not one but two of its most lucrative properties spun into big-budget movies. The “Transformers” sequel will be followed on Aug. 7 by a live-action adaptation of its G.I. Joe toys, called “G.I. Joe: The Rise of Cobra.”  The pair of films is the payoff of a strategy that the toy company has been cultivating for nearly a decade: infusing movie-friendly story lines into its popular playthings and teaching Hollywood that these stories can be translated onto cinema screens. It’s an approach that many other toymakers also are taking, unwilling to cede theater marquees to the creations of comic book publishers such as Marvel and DC.  As fans and collectors know, the Hasbro toys have histories that stretch back for decades.
The original G.I. Joe, a 12-inch-tall soldier known as “America’s moveable fighting man,” was introduced by Hasbro in 1964. After the Vietnam War, Joe’s connection to the U.S. military was played down, and in 1982 the soldier was recommissioned as a pocket-size special missions force of numerous agents. The Joe team was given a nemesis, Cobra, a ruthless terrorist organization (back when such things seemed suitable for youthful reveries).
Two years later, Hasbro imported a series of action figures created by the Japanese toy company Takara, consisting of robots that disguise themselves as vehicles and other technology, calling them Transformers.
The G.I. Joe and Transformers toys, and their comic book and cartoon spinoffs, dominated the marketplace in the 1980s. But in the 1990s, their popularity faded as children turned their attention to newer phenomena such as Pokemon and Mighty Morphin Power Rangers.
“There’s certainly a fad element to what kids are into,” said Gareb Shamus, the publisher of the collectibles magazine ToyFare. Some properties, he said, “just need to take a breather.

The Discovery Playground takes up almost 1,300 square feet and features a net tunnel, pendulum bridge, climbing wall, periscopes, labyrinth game, picture puzzle, scramble net, talk tubes, alphabet game and a gnarly looking tube slide.
The two-story jungle gym gives children a place to bring out their inner animal. “Kids will have the opportunity to slide like otters, climb like koalas, balance like leopards and solve puzzles like primates” according to Victoria Garrison, director of education at the Zoo. “I’m excited that the Zoo can partner with Fisher-Price to provide a fun and safe place for kids to play.”

Revenge of the Fallen Blu-ray Release To Feature Full Screen IMAX Shots
Michael Bay has revealed that he will incorporate the IMAX shots featured in Transformers: Revenge of the Fallen into the Blu-ray release of the film. Playmates June 2009 Hero:108 deal (Indian TV)

The MoonScoop Group has entered into a worldwide licensing agreement with Playmates Toys for new animated comedy/action series Hero:108. The deal allows Playmates to develop and market Hero:108 related toys including action figures, vehicles, role play toys and accessories, playsets and electronic and handheld games on a worldwide basis.
MoonScoop president consumer products and marketing (worldwide) Cynthia Money said, 'The designs, a lot of characters and locations to play with, and wealth of interesting stories will lead to a strong interest on the collectibles side as well.'
Added Playmates VP (marketing and product development) Paul Fish, 'The visuals in this series are good and the producers have created some of the most fun characters. Our creative team jumped at the opportunity to create toys and collectibles that reflect the innovative nature of the series and we look forward to sharing these fantastic concepts with our retail partners worldwide.'
Additionally, an online content at Hero108.tv and a series of 108 casual flash-based web games will also be introduced.

Playmates June 2009 Terminator Figures...

TERMINATOR: SALVATION
 
AFi: Let’s get the big question out of the way.  John Connor.  Can you comment on why his face is hidden?  Can we look forward to any John Connor figures with Christian Bale’s  likeness?
PM: We did have difficulty getting Christian Bale to approve his sculpt, but am happy to report we now do have his approval and new John Connor figures without masks and goggles will be included in the 3.75” and 6” scale hitting retail shelves in Fall.
 
AFi: What’s planned for upcoming waves of Terminator product?   When can we look for Wave 2 in stores?  
PM: Wave 2 figures will start hitting shelves in August.  Included in the Fall will be a 6” and 14” Harvester figures as well as a number of new 3.75” and more 6” figures.


AFi: I’ve read that Playmates is considering 3-3/4' figures based upon the previous three Terminator movies for 2010.  If this is so, can you elaborate on your plans for such a legacy line? 
PM: We have obtained the rights to do figures based on Terminator 1 and 2 and are planning a complete rollout of these figures in Spring 2010.
 
AFi: Terminator Salvation is said to be the first film in a planned trilogy. Does Playmates license cover any potential sequels? 
PM: No, our contract was just to produce toys for Terminator Salvation.
 
AFi: Can we expect any figures based upon Arnold’s digital cameo? 
PM: It is our understanding Arnold didn’t give his approval to appear in the movie until very late in the process, so if we do any figures based on Arnold’s look in Terminator Salvation they will not be released until 2010.

June 2009 Lead Penalties Play Rough With LA Toymakers

The fallout from the lead contamination crisis that rocked the toy industry two years ago – culminating in Mattel Inc. recalling about 2 million items made in China – is striking fear through Los Angeles’ many toy companies.
They are concerned because they now face civil penalties more than 12 times higher than in the past if their products are found to be contaminated by lead or a chemical used in plastic. Also, new regulations call for criminal charges – which could put toy executives in prison.
As if that weren’t enough, the toy companies now face stringent and costly labeling requirements, plus inspection delays at the ports.
In a settlement announced June 5, Mattel and its Fisher-Price subsidiary agreed to pay a $2.3 million penalty for importing and selling toys with hazardous levels of lead. That got the attention of L.A.’s toy manufacturers because it was the largest fine ever imposed by the U.S. Consumer Product Safety Commission on a toymaker.
“It is significant because it’s the first major penalty imposed under the Consumer Product Safety Improvement Act,” said Alex Epand, a partner in the downtown L.A. office of Nixon Peabody LLP who advises companies on federal consumer safety regulations. “Companies can look to it as a benchmark as to what kind of penalties will be assessed in the future.”
The record fine was also a way for the commission to make an example of the El Segundo toy giant.
“This was the commission’s opportunity to send a message to every manufacturer,” Epand said.
Under updated regulations, the commission’s civil penalties were raised from $8,000 to $100,000 per violation. The regulations also increased criminal penalties. A conviction could result in five years in prison and forfeiture of assets associated with the violation.
That means a toy importer who was found to have violated the new rules three times may have to pay a fine of $300,000, up from $24,000. And he may be sent to prison for up to five years.
Also, the commission doesn’t have to prove that company executives knew of any violations before they are hit with criminal charges.
The new regulations also let the commission force the company to give customers refunds, repairs or replacements of recalled products.
Los Angeles has a high concentration of toy companies, from the big ones such as Mattel and Jakks Pacific Inc. to smaller shops. The Central City East Association puts the number of toy companies in downtown’s Toy District at 500.
The costs are being felt across the industry.

GI Joe movie 2009 Korean actor Byung-hun Lee plays Storm Shadow

Korean film and television actor Byung-hun Lee, one of Asia’s top stars, will portray Storm Shadow in Paramount Pictures’ upcoming action adventure G.I. Joe: Rise of Cobra, based on the 1980's TV series and classic comic book.
He joins an ensemble cast that includes Adewale Akinnuoye-Agbaje, Christopher Eccleston, Joseph Gordon-Levitt, Sienna Miller, Rachel Nichols, Ray Park, Said Taghmaoui, Channing Tatum, Marlon Wayans and Dennis Quaid.
In addition to his native Korean, Lee speaks English, French and Mandarin Chinese fluently.  He also goes by the western name, Brian.
For Lee, the film will be his first American production. It is a departure from his previous roles, as he has played mostly romantic, and sensitive leads in his Korean movies.
Lee had no previous knowledge of the G.I. Joe series (the cartoon and comic book are not popular in Korea) but thinks that his fans may be disappointed and finds it strange that he took this role since it is a departure from what audiences have come to expect from him.
According to various English language interviews with Lee, 'he found it more difficult to act in English due to difficulty in focusing on emotions when fixing bad accents or pronunciations.'
He also thought director Stephen Sommers was 'weird at first, but realized that he in fact, was actually really smart, and made very quick decisions.' He stated that Sommers was a pleasure to work with.
The character that Lee has played that is closest to his role as Storm Shadow was the part of Park Chang-yi, 'The Bad, ' in Korean director Kim Ji-won's The Good, The Bad and The Weird, a send-up and homage to the Spaghetti Westerns of Sergio Leone. The film tells the story of three Korean in 1930s Manchuria and their dealings with the Japanese army and Chinese and Russian bandits.
Like the character Lee plays in The Good, The Bad, and The Weird, Storm Shadow is mysterious with huge amount of pride and honor.  Lee stated that he was attracted to the role of Storm Shadow because he possesses a kind of dual personality. He carries two swords, weapons that he is known for in the comics, and the first action figure from 1984.
For Lee, it was his first movie with swords, and he had to spend one month with the stunt team learning martial arts with swords. With his newfound knowledge, he said he will be using swords again in his future movies.

Hornby June 2009 32% fall in full year pre-tax profits

Hornby, the model railways and Scalextric firm, has suffered a 32 per cent fall in full year pre-tax profits, to £6.1 million, because of problems with one of its key Chinese suppliers.
Hornby, which also owns the Airfix, Corgi and Humbrol hobby brands, also blamed the weakness of sterling, which pushed up its costs.
The company, which was also hit by some toy retailers pulling orders before Christmas last year, has decided, as a result, not to pay a final dividend.
Frank Martin, the chief executive, said that Hornby’s biggest Chinese supplier of model railways had faced “serious financial problems” during the year because of its debts.
He said that, in an attempt to maintain continuity of supplies, the company had tried to buy the supplier at one point — incurring some £221,000 of due diligence costs in the process — before the business was bought by a Hong Kong-based operator in January.
He added: “We continue to work closely with the new owners to improve our supply chain performance.”
Mr Martin said that, despite the difficulties in model railway supplies, Hornby’s sales rose by 11 per cent, to £61.6 million, on the back of higher Airfix sales and a first contribution from the Corgi business, which was bought in May last year for £7.6million.
He added: “We expect further strong growth from these brands in the current year.”
Mr Martin said that Hornby had just signed an exclusive worldwide license agreement with the Brawn GP Formula One team, which sweeping all before it this season.
The first ranges are due in the shops by Christmas this year.
He added: “Our work with the McLaren Formula One team continues and we wish both Lewis Hamilton and Jensen Button the very best for the rest of the season.
'Further, we have signed agreements with Disney Productions for the blockbuster movie series Cars. We have also agreed an extension of the James Bond 007 licence to cover our Corgi ranges.”

Playmates Toys will debut its Huntik: Secrets & Seekers toy line in fall 2009. MGA June 2008 Online play seen more key for 2008 holiday season - Reuters

NEW YORK (Reuters) - Online sales are expected to play a more critical role for retailers during the holiday season as U.S. shoppers juggle gift-buying with record-high prices for heating fuel and gasoline.
Executives at the Reuters Consumer and Retail Summit this week agreed that companies offering online deals could benefit this holiday selling season as consumers think twice about trips to the mall with gas at more than $4 a gallon.
'I think this year is going to grow more than before because ... people don't want to drive around,' said Isaac Larian, chief executive of family-owned MGA Entertainment Inc.
'It's first of all much more convenient. Secondly, it will save gas not to go to stores. I see the online business really growing across the board.'
MGA, known for the urban-chic Bratz doll line, sells some toys online, and expects the venue to account for 8 percent to 10 percent of overall sales in two or three years.
Credit rating agency Moody's said in a report this week that retailers with 'solid online strategies' could offset 'weakening comparable-store sales growth.'
'The one-two punch of high gas prices -- which make consumers reluctant to drive to the mall -- and the convenience of home shopping provides support for continued strong growth,' Moody's said. 'Consumers will likely continue to shift their purchases online.'

AMP is the result of a joint initiative between Tiger Electronics and Sega Toys to create the…er… ”future of music mobility”. The 29in-high machine connects to any MP3 player, thanks to a docking station in its back, and will quite happily pump out music doing dancing for you - without complaining that its feet hurt.
It has five basic moves: dance, track, drive, park and follow - although we’re not sure what move AMP would pull off if you asked it to do The Robot. Movement is based around Segway-style wheels that rely on a piezoelectric gyroscope.
AMP’s not just a one-trick pony though, because it also boasts over 62 different sound effects, knowledge of numerous “electrifying dance moves” and 49 expressive LED light animations.
Users control the musical robot through a remote control and several sets of speakers are built into the AMP’s body, including a 5in mid-range speaker and two tweeters.
Despite looking like handy pizza holders, AMP’s two circular ‘hands’ are actually touch pads for layering different sound effects and scratches over your music.

The separate listing of Playmates Toys Ltd.’s shares on Hong Kong’s stock exchange will begin on Feb. 1, 2008, on the exchange’s main board. Playmates Holdings will continue to retain approximately 55 percent of the entire issued shared capital of Playmates Toys.

Marx 1050s Military Playsets

Before the start of World War II, action figures were already some of the most popular toys among little boys. During those days, military action figures and their complementary accessories were usually in the wish lists of kids for Christmas and birthdays.
Marx toy soldiers made during 1930s and the 1940s were some of the most popular to play with, particularly the playsets that were themed around different battles. During those decades, the military playsets were made up of metals that were assembled and manufactured at the toy making facility of Louis Marx and Company. The toys made a big impact and inspired a variety of other toy manufacturers to design and make similar toy soldiers.
At the onset of the World War, metal toys were scrapped because almost all toy plants were asked to spare the metal for military purposes. Thus, other materials were sought and used. Tin and aluminum provide better alternative to the usual metals used to manufacture the items (such as lead).
In the 1950s, such action toys started being manufactured using plastic resources. The toys were not popular initially, but the flexibility and endurance associated with plastic won both children and parents over. So the material started gaining popularity as a toy making material.
The Marx military playsets included different types of figures like trees and rocks, animals and accessories, cannons and wagons and, of course, toy soldiers. Thus, kids were able to run a story plot and construct dioramas whenever they played.
Usually, the action sets included different figures in an environment such as a battleground, or with centerpieces like barns in a farm set, metal forts in a medieval castle and plastic forts in Fort Apache sets. The toy soldiers stood on a flattened base that enabled them to stand on their own without manual assistance.
Most of the Marx playsets are very colorful. The environment looks like miniature versions of actual environments while the accessories like cars were so beautifully crafted that they look just like actual but miniaturized objects. The soldier figures were not colorful, but they readily and appropriately serve their purpose and could be painted by hand as well.
Nowadays, the vintage Marx playsets are still very much sought after by collectors, though they can be difficult to find intact.

MALIBU, Calif.—A Federal court has dismissed a lawsuit brought by World Wrestling Entertainment against long-time licensee Jakks Pacific, its officers and other defendants, the toymaker announced today.

WWE's suit accuses Jakks of offering $100,000 in bribes for rights to WWE video games, according to Forbes.com. The professional wrestling organization had asked the federal court to void its licensing deals with Jakks, plus sought damages. 

Jakks' toy and video game rights to WWE's characters expire in 2009.

PAWTUCKET, R.I—Hasbro has tapped Twentieth Century Fox executive Lisa Licht for the newly created position of General Manager, Entertainment & Licensing.

Licht will look to “further strengthen and deepen Hasbro’s already successful track record with the entertainment industry, while building upon the Company’s strong and growing licensing programs around the world, leveraging Hasbro’s brands in a wide variety of consumer-focused categories,” according to the company. She most recently served as Fox’s executive vice president responsible for global marketing partnerships.

“We are thrilled to bring Lisa on board. She is a highly respected entertainment executive and the right person to lead our accelerated efforts as we look to create additional immersive brand experiences beyond traditional toys and games,” said Brian Goldner, Hasbro’s chief operating officer.

Licht held several senior posts at Twentieth Century Fox prior to her appointment as EVP, including Senior Vice President, Feature Film Promotions and Field Operations; and Senior Vice President, Marketing, Licensing and Merchandising.

Prior to joining Twentieth Century Fox, Licht was a marketing VP at Mattel, where she managed the worldwide Barbie doll line.
